Terms of Service

Effective: 20 August 2026

These Terms govern your access to and use of Shorty. By creating an account, purchasing a plan, clicking to accept, or otherwise using the service, you agree to these Terms on your own behalf or on behalf of the organisation you represent. Please read section 11 carefully — it limits our liability to you.

1. Who we are

Shorty is operated by Tools Products FZ-LLC (“Shorty”, “we”, “us” or “our”), based in Dubai, United Arab Emirates. You can contact us at support@tools-labs.com. Additional guidelines, plan terms or rules that we publish for particular features form part of these Terms.

2. Eligibility and accounts

You must be at least 18 years old, or the age of legal majority where you live, to use Shorty. If you use Shorty for a business or another organisation, you confirm that you have authority to bind it to these Terms.

When you register, you agree to give accurate and complete information and to keep it current. You are responsible for keeping your sign-in credentials secure, for information submitted through your account, and for all activity under your account. Tell us promptly if you believe your account has been compromised. We are not liable for losses caused by your failure to keep your credentials secure.

3. The service and your licence to use it

Shorty provides AI-assisted tools that analyse reference videos and footage, prepare editing plans, and generate or render video edits. Features, output formats, limits and availability may vary by plan and may change as the service develops.

Subject to these Terms and to payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Shorty. You may use outputs you create for any lawful purpose, including commercially, to the extent you hold the rights in the underlying material.

You may not: license, sell, rent, lease, transfer, assign or otherwise commercially exploit the service itself or content we provide with it; modify, create derivative works from, disassemble, decompile or reverse engineer any part of the service; access the service in order to build a similar or competing product; scrape or use automated means to extract the service or its content; or remove any copyright or proprietary notices. These restrictions apply except where applicable law expressly permits otherwise.

You remain responsible for reviewing every output before publishing or relying on it. AI-generated analysis and edits may be incomplete, inaccurate, unexpected or similar to content generated for other users.

4. Your content

“Your Content” means footage, reference media, music, text, instructions and other material you submit, as well as the outputs generated for you from that material.

You retain your rights in Your Content. You grant us a worldwide, non-exclusive, limited licence to host, copy, process, adapt, transmit and display Your Content only as needed to operate, secure, support and improve the service, comply with law, and enforce these Terms. This licence ends when the relevant content is deleted from our systems, subject to reasonable backup, legal and security retention periods.

You confirm that you own or have all permissions needed to upload and use Your Content, including any rights in music, people, brands and reference material. Shorty does not give you rights to third-party content merely because the service can analyse or imitate editing characteristics.

You are responsible for keeping your own copies of Your Content. We are not a backup service, and storage is subject to the limits and retention periods of your plan.

5. Acceptable use

You must not use Shorty to:

  • break any law or infringe another person's privacy, intellectual property, publicity or other rights;
  • create or distribute unlawful, fraudulent, deceptive, defamatory, abusive or exploitative content, including sexual content involving minors or non-consensual intimate imagery;
  • upload malware, disrupt the service, bypass limits, probe security, or access accounts or systems without permission;
  • reverse engineer or extract models, source code or non-public service components except where applicable law expressly allows it;
  • misrepresent AI-generated media as authentic where disclosure is required by law or necessary to prevent deception; or
  • use the service in a way that could harm Shorty, our providers, other users or the public.

We may remove content, restrict processing, or suspend accounts when reasonably necessary to investigate or prevent misuse.

6. Our intellectual property

Shorty and its software, design, branding, templates, models, documentation and underlying technology are owned by us or our licensors and are protected by copyright, trademark and other laws. Except for the limited right to use the service under these Terms, no rights in them are transferred to you, and all rights not expressly granted are reserved. You may not use our trademarks, logos or service marks without prior written consent.

If you send ideas or feedback, you grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free licence to use them without restriction, payment or attribution. Please do not send feedback you consider confidential.

If you believe content on Shorty infringes your copyright or other rights, email support@tools-labs.com with enough detail to identify the work, the material in question and your contact details, and we will investigate and act as appropriate, including removing content and terminating repeat infringers.

7. Privacy and communications

Our Privacy Policy describes the personal data we collect, how we use it, and when we share it, and it forms part of these Terms. By using Shorty you acknowledge that we will process personal data in accordance with that Policy. If these Terms and the Privacy Policy conflict on the collection, use or processing of personal data, the Privacy Policy controls. The Privacy Policy also explains the cookies and similar technologies we use and how to manage them.

You agree that we may communicate with you electronically, by email to the address on your account or by notices posted in the service, and that these communications satisfy any legal requirement that a notice be in writing.

8. Plans, billing and cancellation

Paid plans are billed in advance at the price and interval shown when you subscribe. Unless stated otherwise, subscriptions renew automatically until canceled. Taxes may be added where required. Payments are processed by our payment provider, whose own terms apply to the payment transaction.

You may cancel before the next renewal to avoid future charges. Cancellation takes effect at the end of the current billing period. Except where the law requires otherwise or we state otherwise at purchase, fees already paid are non-refundable. We may change plan prices or limits with reasonable advance notice, applying changes from a later renewal.

If a payment fails or is charged back, we may suspend access until the amount due is settled.

9. Third-party services

Shorty relies on and may link to third-party hosting, authentication, storage, payment, AI and processing services. We do not control or endorse them, their own terms and privacy practices apply when you use them, and you use them at your own risk. We are not responsible for third-party sites or services that we do not control, or for any loss arising from your use of them.

10. Availability and changes

We aim to keep Shorty available, but do not promise uninterrupted or error-free operation. We may maintain, change, suspend or discontinue features for security, legal, technical or business reasons. Where reasonably possible, we will give advance notice of a material discontinuation. We are not obliged to provide support or maintenance beyond what your plan describes.

Neither party is liable for failure or delay caused by events beyond its reasonable control, including outages of infrastructure or third-party providers, network failures, natural events, war, civil unrest, or acts of government.

11. Disclaimers and limitation of liability

To the maximum extent permitted by law, Shorty is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and satisfactory quality, and we do not warrant that the service will be uninterrupted, error-free, secure or free of harmful code. We do not guarantee that an output will be unique, accurate, suitable for publication, or free of third-party claims.

To the maximum extent permitted by law, neither Shorty nor its affiliates, staff or suppliers will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, arising out of or relating to these Terms or your use of or inability to use the service.

Our total liability arising out of or relating to the service or these Terms will not exceed the greater of the amount you paid to Shorty in the 12 months before the event giving rise to the claim or USD 100. The existence of more than one claim does not increase this limit.

Nothing in these Terms excludes or limits warranties, rights or liability that cannot lawfully be excluded or limited, including mandatory consumer rights and liability for fraud, wilful misconduct, or death or personal injury caused by negligence where applicable.

12. Indemnity

You agree to defend, indemnify and hold harmless Shorty and its affiliates, officers, employees and agents from any third-party claim, and any reasonable costs and legal fees arising from it, that relates to your use of the service, Your Content, your breach of these Terms, or your breach of any applicable law. We will notify you promptly of any such claim we become aware of, may take over its defence at your expense, and you will not settle it without our prior written consent.

13. Suspension and termination

You may stop using Shorty at any time and may close your account by contacting us. We may suspend or terminate access, including deleting your account, if you materially breach these Terms, create legal or security risk, fail to pay amounts due, or use the service in a way that could cause harm. Where appropriate, we will give notice and an opportunity to fix the issue.

Terms that by their nature should continue — including sections 3 (use restrictions), 4, 6, 7 and 9 through 16 — survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law principles. Subject to any mandatory rights you have under local law, the courts of Dubai have exclusive jurisdiction over disputes relating to these Terms or the service.

Before filing a claim, please email support@tools-labs.com describing the dispute and the outcome you are seeking, so we can try to resolve it informally. Both parties agree to engage in good faith for 30 days from that notice before starting formal proceedings. Either party may still seek urgent injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information.

You agree not to use, export or re-export the service, or any technical data obtained from it, in breach of applicable export control or sanctions laws, and you confirm you are not located in, or acting on behalf of anyone in, a country or on a list subject to such restrictions.

15. General

These Terms, together with the Privacy Policy and any policies referenced in them, are the entire agreement between you and Shorty about your use of the service. If any provision is held invalid or unenforceable, it will be modified to the minimum extent needed to be enforceable and the rest remains in effect. Our failure to enforce a provision is not a waiver of it. “Including” means “including without limitation”. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of our business. These Terms bind permitted assignees. There are no third-party beneficiaries.

We want Shorty to be usable by everyone, including people with disabilities, and we work towards the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you have difficulty accessing any part of the service, or suggestions for improving it, email support@tools-labs.com and we will make reasonable efforts to address it.

16. Changes to these Terms

We may update these Terms to reflect changes to Shorty, the law, or our business. We will post the revised version and update the effective date. If a change materially affects your rights, we will provide reasonable additional notice, by email to the address on your account or by a prominent notice in the service. Continuing to use Shorty after the updated Terms take effect means you accept them.
